Agreement to Terms and Legal Compliance

By accessing or using the Equityplex platform and its associated services, you agree to be bound by these Terms and Conditions and our Privacy Policy in full compliance with the laws of the State of California. These terms constitute a legally binding agreement between you, whether personally or on behalf of an entity, and Equityplex concerning your access to and use of the equityplex.site website and our modular ERP services. If you do not agree with all of these terms, then you are expressly prohibited from using the site and must discontinue use immediately. We operate under the jurisdiction of California, and any legal disputes shall be governed by the courts of this state.

Modular Service Provision and Pay-As-You-Grow Usage

Equityplex provides a modular “Pay-As-You-Grow” ERP system where users are granted access only to the specific modules—such as Inventory, Finance, or HR—that they have actively subscribed to and paid for. This service model is designed for high flexibility; however, it requires the user to maintain an active subscription for each individual module to ensure uninterrupted data access. Equityplex reserves the right to modify, suspend, or discontinue any specific module or feature at any time, provided that such changes do not materially degrade the core functionality of the services for which the user has already paid. Users are responsible for configuring their modular dashboard to meet their specific business requirements within the technical boundaries of our platform.

Subscription Billing and Financial Responsibility

Billing for our modular services is conducted on a recurring basis, determined by the specific tier and number of modules selected by the user at the time of purchase. All fees are quoted in U.S. Dollars and are exclusive of applicable state and local taxes, which will be calculated based on your California-registered business address or primary place of operation. By providing a payment method, you authorize Equityplex to charge all accrued fees for your selected modules until the subscription is formally cancelled through the user dashboard. Failure to settle outstanding balances may result in the immediate suspension of specific module access, though Equityplex will make reasonable efforts to provide notice before such suspension occurs.

California Consumer Privacy and Data Security

In accordance with the California Consumer Privacy Act (CCPA), Equityplex is committed to the highest standards of data protection and transparency regarding the collection of business and personal information. We implement robust security measures to protect the integrity of your financial, warehouse, and personnel data processed through our modules. As a user, you retain all ownership rights to the data you input into the system, but you grant Equityplex a limited license to host, transmit, and display that data solely for the purpose of providing the ERP services. We do not sell your business data to third parties, and you have the right to request a portable copy of your data or its deletion, subject to legal and financial record-keeping requirements.

Intellectual Property Rights and Usage Restrictions

The Equityplex platform, including its source code, modular architecture, “Plug-and-Play” dashboard designs, and the upcoming AI Business Intelligence tool, is the proprietary property of Equityplex and is protected by copyright and trademark laws. Users are granted a non-exclusive, non-transferable, limited license to access the modules for internal business operations only. You are strictly prohibited from attempting to reverse-engineer the modular framework, circumventing security protocols, or using our services to build a competing ERP product. Any unauthorized use of our intellectual property will result in immediate termination of your account and potential legal action under California civil law.

Limitation of Liability and Service Warranties

Equityplex provides its modular ERP services on an “as-is” and “as-available” basis, and we do not warrant that the services will be entirely error-free or uninterrupted at all times. To the maximum extent permitted by California law, Equityplex shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, data, or business opportunities arising from the use or inability to use our platform. Our total liability for any claim arising under these terms shall not exceed the amount paid by the user for the specific module in question during the twelve months preceding the claim. Users are encouraged to maintain independent backups of their critical business data.

User Support and Official Communication

All official notices, support requests, and legal inquiries regarding these Terms and Conditions must be directed to our administration via the primary contact email at contact@equityplex.site. Equityplex will communicate with users primarily through the email address associated with their account or through notifications within the ERP dashboard. It is the user’s responsibility to keep their contact information current to ensure they receive critical updates regarding service changes, billing, or security alerts. We aim to respond to all inquiries within a reasonable timeframe consistent with professional business standards in the technology sector.
